The cost of the Reclaim VIP upgrade is $5,555 if paid in full or as a payment plan of $2,777.50/month for 2 months unless otherwise noted. If I pay in monthly installments, I hereby agree to remit the monthly payments via pre-authorized automatic electronic debit from my bank account or credit card and continuing until payment is made in full. Payment in full or first monthly program payment (unless authorization is given prior) will process on the date of purchase and will continue on the same date as the first payment unless other arrangements are made.

Payments are not refundable, for any reason, after purchase.

By purchasing, “I” the purchaser understand:

• I assume full responsibility for any and all damages, which may incur through participation.

Agreement Details:

NOT THERAPY: I understand that Nicole Mantilla (and Vibratory Alchemy LLC) is offering me a coaching program and it is not, nor does it replace, therapy, counseling or psychoanalysis.

COMMUNICATION: I agree to communicate responsibly and hold confidential communications that I have with individuals in the program.

I agree to take full responsibility for my results in the program. If I have feedback about the program I agree to email Nicole's Team directly at [email protected]

WAIVER: I understand that all Zoom calls will be recorded. I grant full permission to Nicole Mantilla (and Vibratory Alchemy LLC) to record my voice and image if I am participating in these calls and waive all rights to my voice, video and image stills without payment or other consideration.

I understand that my image may be edited, copied or used for educational or marketing purposes and waive any and all rights to royalties or compensations related to using my voice, image or video.

PAYMENTS: I agree to pay the full amount according to the payment plan chosen. The program fee is non-refundable, and no refunds or credits will be issued for any reason, including, but not limited to, failure to complete the program, dissatisfaction with the program, or any other reason.

LATE PAYMENTS: I understand that if I am on a payment plan and should I fail to remit any of the required payments on time, I will receive an email or other written notice from the office of Nicole Mantilla (and Vibratory Alchemy LLC). If, after 7 days, I still have not made the late payments, may terminate further program services until I am caught up with payments. I will be responsible for the remaining balance owed to Nicole Mantilla (and Vibratory Alchemy LLC), regardless of any termination of services attributable to late payments or other cause.

CONFIDENTIALITY: I acknowledge and understand that the methods, processes, and strategies taught in Reclaim, and the coaching materials embodying them, constitutes Nicole Mantilla’s (and Vibratory Alchemy LLC) Proprietary System which is confidential, and for which Nicole Mantilla (and Vibratory Alchemy LLC) claims copyright and trade secret protection.

CONTENT: I acknowledge and understand that the Reclaim education and information (except for individual coaching) is intended for general audience and does not purport to be, nor should it be construed as, specific advice, tailored to any individual.

All materials, procedures, policies, and standards, all teaching manuals, all teaching aids, all supplements and the like that have been or will be made available by Nicole Mantilla (and Vibratory Alchemy LLC) in connection with Reclaim, whether oral or written, are for my personal use only in, or in conjunction with Reclaim.

Reclaim content is for personal use only, and may not be sold, recorded, videotaped, shared, taught, given away, or otherwise divulged without the express written consent of Nicole Mantilla or her designated agent.

The information contained in the Reclaim material is strictly for educational purposes. Therefore, if I wish to apply ideas contained in this material, I am taking full responsibility for my actions. 

I will not share access to Reclaim materials with any third parties, nor will my username and password be shared with any third parties.

I understand and agree that violation of Nicole Mantilla’s (and Vibratory Alchemy LLC)  policies regarding content shall result in the immediate termination of my enrollment without refund.

LICENSE: My use of, and access to Reclaim materials is on a licensed basis. In that regard, Nicole Mantilla (and Vibratory Alchemy LLC) hereby grants to me, and I hereby accept, the non-exclusive right, license and privilege to use (but not sublicense) the program materials for 6 months.

I agree to:

(a) constantly use best efforts in my use of the Reclaim Materials, to protect the good name and goodwill associated with the Reclaim Materials and Nicole Mantilla (and Vibratory Alchemy LLC);  

(b) not to attack the title of Reclaim in and to the Reclaim Materials nor attack the validity of the license granted hereunder;

(c) not harm, misuse or bring into disrepute Reclaim Materials and Nicole Mantilla (and Vibratory Alchemy LLC), but to the contrary, will maintain the value and reputation thereof to the best of your ability;

(d) at all times comply with all applicable government laws and regulations, and all voluntary industry standards relating or pertaining to the use of Reclaim Materials, and shall maintain appropriate customary high-quality standards. I shall also abide by  Nicole Mantilla’s (and Vibratory Alchemy LLC) suggestions and specifications regarding quality control over the use of the Reclaim Materials.

I understand and agree that the license granted herein does not grant you any right, title or interest, at law or in equity, in or to any of  Nicole Mantilla’s (and Vibratory Alchemy LLC) trademarks, service marks, copyrights, copyrighted material, or any derivative uses thereof, or the name, likeness or image of  Nicole Mantilla (and Vibratory Alchemy LLC), or trade secrets or other rights or intellectual property of any kind, except as provided by said license.  Further, such license applies only to those Reclaim materials designated herein. I shall not represent to others, or conduct myself in any manner that might indicate to others, that I possess any other legal or equitable rights in Reclaim Material, trademarks, copyrighted materials, trade secrets or other rights or intellectual property of any kind belonging to Nicole Mantilla (and Vibratory Alchemy LLC) other than by virtue of the license granted hereunder. 

Nicole Mantilla (and Vibratory Alchemy LLC) shall have the right to approve all uses of Reclaim Material or derivative uses thereof.

Nicole Mantilla (and Vibratory Alchemy LLC) shall have and hereby reserves all rights and remedies which it has, or which are granted to it by operation of law, to enjoin the unlawful or unauthorized use of Reclaim Materials (any of which injunctive relief may be sought in the courts, and also may be sought prior to or in lieu of termination), and to be compensated for damages for breach of this Agreement.

PROGRAM COMMITMENT AND TERMINATION: I understand  Nicole Mantilla (and Vibratory Alchemy LLC) may terminate services if: (1) I do not make any required payment after notice as provided above; or (2) in  Nicole Mantilla’s (and Vibratory Alchemy LLC) opinion, I am conducting myself or my business in a manner which is disparaging or disruptive to  Nicole Mantilla (and Vibratory Alchemy LLC) or the program or asserts any ownership right in  Nicole Mantilla’s (and Vibratory Alchemy LLC) Proprietary System; or (3) if I violate the confidentiality covenant stated above or breach any other provision of this Agreement. I hereby commit to investing in myself and Reclaim. I will be responsible for the entire financial commitment. I understand if I’m on a payment plan, my deposit and my first month payment is non-refundable. I understand that a space is reserved for me and preparations are made for my attendance in the entire (program length) month program immediately upon registration and I agree to be fully IN. 

DISCLAIMER:  Nicole Mantilla (and Vibratory Alchemy LLC) and Reclaim are not intended to provide legal, tax, financial or accounting advice.

Under no circumstances, including, but not limited to, negligence, shall Nicole Mantilla (and Vibratory Alchemy LLC), their subsidiary and parent companies or affiliates be liable for any direct, indirect, incidental, special or consequential damages that result from my use of, or the inability to use, their site or Reclaim Materials, including messaging, blogs, comments of others, books, emails, products, or services, or third-party materials, products, or services made available through the site or by  Nicole Mantilla (and Vibratory Alchemy LLC). In any way, even if Nicole Mantilla (and Vibratory Alchemy LLC) is advised beforehand of the possibility of such damages. (because some states do not allow the exclusion or limitation of certain categories of damages, the above limitation may not apply to me. In such states,  Nicole Mantilla’s liability and the liability of their subsidiary and parent companies or affiliates is limited to the fullest extent permitted by such state law.) I specifically acknowledge and agree that  Nicole Mantilla (and Vibratory Alchemy LLC) is not liable for any defamatory, offensive or illegal conduct of any user. If I am dissatisfied with the site, any materials, products, or services on the site, or with any of the site's terms and conditions, my sole and exclusive remedy is to discontinue using the site and the products, services and/or materials.

Reclaim and Nicole Mantilla’s site are continually under development and  Nicole Mantilla makes no warranty of any kind, implied or express, as to its accuracy, completeness or appropriateness for any purpose. The information provided in this product is sold and provided on an “as is” basis.  Nicole Mantilla does not promise or guarantee any income or particular result from my use of the information contained herein. Those results are my responsibility as the end user of the program. In particular,  Nicole Mantilla shall not be liable to me or any other party for any damages, or costs, of any character including but not limited to direct or indirect, consequential, special, incidental, or other costs or damages, in excess of the purchase price of the program. Yoga & Movement Waiver & Release Form:

I understand that yoga includes physical movements as well as an opportunity for relaxation, stress re-education and relief of muscular tension. As is the case with any physical activity, the risk of injury, even serious or disabling, is always present and cannot be entirely eliminated. If I experience any pain or discomfort, I will listen to my body, discontinue the activity, and ask for support from the instructor. I will continue to breathe smoothly. I assume full responsibility for any and all damages, which may incur through participation. 



Yoga and intuitive movement is not a substitute for medical attention, examination, diagnosis or treatment. Yoga is not recommended and is not safe under certain medical conditions. By signing, I affirm that a licensed physician has verified my good health and physical condition to participate in such a fitness program. In addition, I will make the instructor aware of any medical conditions or physical limitations before class.

If I am pregnant, become pregnant or I am post-natal or post-surgical, my acceptance verifies that I have my physician's approval to participate. I also affirm that I alone am responsible to decide whether to practice yoga and participation is at my own risk. I hereby agree to irrevocably release and waive any claims that I have now or may have hereafter against Nicole Mantilla RYT Yoga Instructor (and Vibratory Alchemy LLC).

 

MISCELLANEOUS: This Agreement sets forth the final, complete and exclusive understanding between Nicole Mantilla (and Vibratory Alchemy LLC) and myself on the subject matter hereof, and supersedes all prior and contemporaneous understandings and agreements relating to its subject matter. No modification of or amendment to this Agreement, nor any waiver of any rights under this Agreement, shall be effective unless in writing and signed by both Nicole Mantilla and myself. Should any provision of this Agreement be held by a competent court or another tribunal to be illegal, invalid or unenforceable, the legality, validity and enforceability of the remaining provisions of this Agreement shall not be affected. 

I understand that this Agreement shall be binding upon my heirs, executors, administrators and other legal representatives and shall be for the benefit of You and your successors and assigns. No waiver by Nicole Mantilla (and Vibratory Alchemy LLC) of any breach of this Agreement shall be a waiver of any preceding or succeeding breach. No waiver by Nicole Mantilla (and Vibratory Alchemy LLC) of any right under this Agreement shall be construed as a waiver of any other right. You shall not be required to give notice to enforce strict adherence to all terms of this Agreement. 

Any notices required by this Agreement shall be provided in writing by certified or registered mail, postage prepaid, three (3) days after the date of mailing.

AGREEMENT SUMMARY:

I have read and fully understand and agree to the above terms of this Liability Waiver Agreement. I am consenting to this agreement voluntarily and recognize that my acceptance serves as complete and unconditional release of all liability to the greatest extent allowed by law in the State of New York.



I have read and understand the foregoing provisions and agree to be bound hereby.
