Agreement Details:

NOT THERAPY: I understand that Nicole Mantilla (and Vibratory Alchemy LLC) is offering me a coaching program and it is not, nor does it replace, therapy, counseling or psychoanalysis.

COMMUNICATION: I agree to communicate responsibly and hold confidential communications that I have with individuals in the program.

I agree to take full responsibility for my results in the program. If I have feedback about the program I agree to email Nicole's Team directly at [email protected]

CONFIDENTIALITY: I acknowledge and understand that the methods, processes, and strategies taught in The Abundance Portal, and the coaching materials embodying them, constitutes Nicole Mantilla’s (and Vibratory Alchemy LLC) Proprietary System which is confidential, and for which Nicole Mantilla (and Vibratory Alchemy LLC) claims copyright and trade secret protection.

CONTENT: I acknowledge and understand that The Abundance Portal education and information (except for individual coaching) is intended for general audience and does not purport to be, nor should it be construed as, specific advice, tailored to any individual.

All materials, procedures, policies, and standards, all teaching manuals, all teaching aids, all supplements and the like that have been or will be made available by Nicole Mantilla (and Vibratory Alchemy LLC) in connection with The Abundance Portal, whether oral or written, are for my personal use only in, or in conjunction with The Abundance Portal.

The Abundance Portal content is for personal use only, and may not be sold, recorded, videotaped, shared, taught, given away, or otherwise divulged without the express written consent of Nicole Mantilla or her designated agent.

The information contained in The Abundance Portal material is strictly for educational purposes. Therefore, if I wish to apply ideas contained in this material, I am taking full responsibility for my actions. 

I will not share access to The Abundance Portal materials with any third parties, nor will my username and password be shared with any third parties.

I understand and agree that violation of Nicole Mantilla’s (and Vibratory Alchemy LLC)  policies regarding content shall result in the immediate termination of my enrollment without refund.

LICENSE: My use of, and access to The Abundance Portal materials is on a licensed basis. In that regard, Nicole Mantilla (and Vibratory Alchemy LLC) hereby grants to me, and I hereby accept, the non-exclusive right, license and privilege to use (but not sublicense) the program materials for 6 months.

I agree to:

(a) constantly use best efforts in my use of the The Abundance Portal Materials, to protect the good name and goodwill associated with the The Abundance Portal Materials and Nicole Mantilla (and Vibratory Alchemy LLC);  

(b) not to attack the title of The Abundance Portal in and to the The Abundance Portal Materials nor attack the validity of the license granted hereunder;

(c) not harm, misuse or bring into disrepute The Abundance Portal Materials and Nicole Mantilla (and Vibratory Alchemy LLC), but to the contrary, will maintain the value and reputation thereof to the best of your ability;

(d) at all times comply with all applicable government laws and regulations, and all voluntary industry standards relating or pertaining to the use of The Abundance Portal Materials, and shall maintain appropriate customary high-quality standards. I shall also abide by  Nicole Mantilla’s (and Vibratory Alchemy LLC) suggestions and specifications regarding quality control over the use of the The Abundance Portal Materials.

I understand and agree that the license granted herein does not grant you any right, title or interest, at law or in equity, in or to any of  Nicole Mantilla’s (and Vibratory Alchemy LLC) trademarks, service marks, copyrights, copyrighted material, or any derivative uses thereof, or the name, likeness or image of  Nicole Mantilla (and Vibratory Alchemy LLC), or trade secrets or other rights or intellectual property of any kind, except as provided by said license.  Further, such license applies only to those Divine Creator Materials designated herein. I shall not represent to others, or conduct myself in any manner that might indicate to others, that I possess any other legal or equitable rights in The Abundance Portal Material, trademarks, copyrighted materials, trade secrets or other rights or intellectual property of any kind belonging to Nicole Mantilla (and Vibratory Alchemy LLC) other than by virtue of the license granted hereunder. 

Nicole Mantilla (and Vibratory Alchemy LLC) shall have the right to approve all uses of The Abundance Portal Material or derivative uses thereof.

Nicole Mantilla (and Vibratory Alchemy LLC) shall have and hereby reserves all rights and remedies which it has, or which are granted to it by operation of law, to enjoin the unlawful or unauthorized use of The Abundance Portal Materials (any of which injunctive relief may be sought in the courts, and also may be sought prior to or in lieu of termination), and to be compensated for damages for breach of this Agreement.

DISCLAIMER:  Nicole Mantilla (and Vibratory Alchemy LLC) and The Abundance Portal are not intended to provide legal, tax, financial or accounting advice.

Under no circumstances, including, but not limited to, negligence, shall Nicole Mantilla (and Vibratory Alchemy LLC), their subsidiary and parent companies or affiliates be liable for any direct, indirect, incidental, special or consequential damages that result from my use of, or the inability to use, their site or The Abundance Portal Materials, including messaging, blogs, comments of others, books, emails, products, or services, or third-party materials, products, or services made available through the site or by  Nicole Mantilla (and Vibratory Alchemy LLC). In any way, even if Nicole Mantilla (and Vibratory Alchemy LLC) is advised beforehand of the possibility of such damages. (because some states do not allow the exclusion or limitation of certain categories of damages, the above limitation may not apply to me. In such states,  Nicole Mantilla’s liability and the liability of their subsidiary and parent companies or affiliates is limited to the fullest extent permitted by such state law.) I specifically acknowledge and agree that  Nicole Mantilla (and Vibratory Alchemy LLC) is not liable for any defamatory, offensive or illegal conduct of any user. If I am dissatisfied with the site, any materials, products, or services on the site, or with any of the site's terms and conditions, my sole and exclusive remedy is to discontinue using the site and the products, services and/or materials.

The Abundance Portal and Nicole Mantilla’s site are continually under development and  Nicole Mantilla makes no warranty of any kind, implied or express, as to its accuracy, completeness or appropriateness for any purpose. The information provided in this product is sold and provided on an “as is” basis.  Nicole Mantilla does not promise or guarantee any income or particular result from my use of the information contained herein. Those results are my responsibility as the end user of the program. In particular,  Nicole Mantilla shall not be liable to me or any other party for any damages, or costs, of any character including but not limited to direct or indirect, consequential, special, incidental, or other costs or damages. These limitations may be affected by the laws of particular states.

The Abundance Portal Materials and site exist for educational purposes only, and the materials and information contained therein are for general informational purposes only.  With regard to financial content contained therein: neither Nicole Mantilla (and Vibratory Alchemy LLC) nor its owners, officers, directors, employees, subsidiaries, affiliates, licensors, service providers, content providers and agents are financial advisors, or an investment advisory service, and nothing contained in The Abundance Portal, Program Materials or site is intended to be or to be construed as financial advice, or legal, compliance, financial, tax, accounting or related advice.

However, this material deals with topics that are constantly changing and are subject to ongoing changes related to technology and the market place as well as legal and related compliance issues.  MISCELLANEOUS: This Agreement sets forth the final, complete and exclusive understanding between Nicole Mantilla (and Vibratory Alchemy LLC) and myself on the subject matter hereof, and supersedes all prior and contemporaneous understandings and agreements relating to its subject matter. No modification of or amendment to this Agreement, nor any waiver of any rights under this Agreement, shall be effective unless in writing and signed by both Nicole Mantilla and myself. Should any provision of this Agreement be held by a competent court or another tribunal to be illegal, invalid or unenforceable, the legality, validity and enforceability of the remaining provisions of this Agreement shall not be affected. 

I understand that this Agreement shall be binding upon my heirs, executors, administrators and other legal representatives and shall be for the benefit of You and your successors and assigns. No waiver by Nicole Mantilla (and Vibratory Alchemy LLC) of any breach of this Agreement shall be a waiver of any preceding or succeeding breach. No waiver by Nicole Mantilla (and Vibratory Alchemy LLC) of any right under this Agreement shall be construed as a waiver of any other right. You shall not be required to give notice to enforce strict adherence to all terms of this Agreement. 

Any notices required by this Agreement shall be provided in writing by certified or registered mail, postage prepaid, three (3) days after the date of mailing.

AGREEMENT SUMMARY:

I have read and fully understand and agree to the above terms of this Liability Waiver Agreement. I consent to this agreement voluntarily and recognize that my consent serves as complete and unconditional release of all liability to the greatest extent allowed by law in the State of New York.



I have read and understand the foregoing provisions and agree to be bound hereby.
